1. Introduction and Acceptance

Welcome to Wizium AI. These Terms of Service ("Terms") govern your access to and use of the Wizium AI platform, including any websites, mobile applications, and services (collectively, the "Service") provided by Wizium AI ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. These Terms constitute a legally binding agreement between you and Wizium AI.

2. Service Description

Wizium AI is an AI Copilot Platform for Amazon sellers that provides tools and services to help users discover products, find suppliers, create listings, and manage their Amazon business.

Our Service includes, but is not limited to:

• Supplier finder and negotiation assistance

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Service without liability.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your personal or business purposes.

You retain all rights to any content you submit, post, or display on or through the Service. By submitting, posting, or displaying content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute such content in connection with providing and promoting the Service.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission.

• Any conduct or content of any third party on the Service

The Service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no event shall our total liability to you for all claims exceed the amount you paid to Wizium AI, if any, for using the Service during the twelve (12) months preceding the claim.

7. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We are not liable to you or any third party for any claims or damages arising out of any termination or suspension of the Service or your access to it.

8. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Delaware, using the English language in accordance with the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

The prevailing party in any arbitration or other legal action arising out of these Terms shall be entitled to receive reimbursement of reasonable attorneys' fees, court costs, and other litigation expenses.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief to protect our intellectual property rights in any court of competent jurisdiction.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date at the top of this page.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.
